Terms of Service

1. Agreement to Terms

By accessing or using the Consulgent web application at consulgent.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

"Consulgent," "we," "us," and "our" refer to the operator of the Service. "You" and "your" refer to the individual or entity using the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Description of the Service

Consulgent is a conversational AI application that guides users through a structured problem-solving process: clarifying objectives, creating plans, gathering information, and executing steps. The Service uses third-party AI models to generate responses, recommendations, and analysis based on your input.

4. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Subscriptions, Credits, and Payments

5.1 Subscription Tiers

The Service offers multiple subscription tiers (Free, Plus, Pro, Team, and Enterprise), each with different features and credit allowances. Details of each tier are available on our pricing page.

5.2 Credits and Usage

Usage of the Service consumes credits based on the AI models and features used. Each AI interaction has an associated cost that is deducted from your credit balance. Credit costs vary by model, token usage, and features such as web search.

5.3 Payments

All payments are processed by Stripe. By subscribing to a paid tier or purchasing credits, you agree to pay the applicable fees. Subscription fees are billed on a recurring basis according to the billing cycle of your chosen plan.

5.4 Auto-Reload

If you enable auto-reload, additional credits will be purchased automatically when your balance falls below your configured threshold. You may disable auto-reload at any time in your account settings.

5.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your paid tier through the end of your current billing period. Purchased credits are non-refundable. Refund requests for subscriptions may be considered on a case-by-case basis by contacting support@consulgent.com.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate, store, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to develop competing AI products by systematically extracting or reverse-engineering AI outputs
  • Upload files containing malware, viruses, or other harmful code
  • Misrepresent AI-generated outputs as human-created work where disclosure is required by law or professional standards
  • Share your account credentials with others or allow multiple individuals to use a single account (unless on a Team or Enterprise plan)
  • Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including suspending or terminating their account.

7. User Content

7.1 Ownership

You retain ownership of all content you submit to the Service, including conversation inputs, uploaded files, and project data ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Service to you.

7.2 AI-Generated Outputs

The Service produces AI-generated responses, plans, and analysis ("Outputs"). To the extent permitted by applicable law, you may use Outputs for your personal or business purposes. However, you acknowledge that:

  • Outputs are generated by third-party AI models and may contain inaccuracies, errors, or biases
  • Similar or identical Outputs may be generated for other users who provide similar inputs
  • You are solely responsible for evaluating, verifying, and using Outputs appropriately
  • Outputs do not constitute professional advice (legal, medical, financial, or otherwise)

7.3 File Uploads

Files you upload are stored securely and processed for text extraction and search functionality. Files are limited to 50 MB per file. You represent that you have the right to upload any files you submit and that they do not infringe on any third party's rights.

8. Third-Party Services

The Service relies on third-party providers for AI processing, infrastructure, and payments. By using the Service, you acknowledge that your data will be transmitted to these providers as described in our Privacy Policy. These providers include:

  • AI model providers: Anthropic, OpenAI, Google, and xAI
  • Infrastructure: Supabase and Vercel
  • Payments: Stripe

Your use of these third-party services is subject to their respective terms of service and privacy policies.

9. Google Workspace Integration

The Service offers an optional integration with Google Workspace (Gmail, Google Drive, Google Docs, Google Calendar). If you choose to connect your Google account:

  • You will be asked to authorize specific scopes via Google OAuth
  • The Service will only access Google services within the scopes you explicitly grant
  • You may revoke access at any time through your account settings
  • Your use of Google services through Consulgent is also subject to Google's Terms of Service

10. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Consulgent and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI-generated outputs will be accurate, complete, or reliable
  • The Service will meet your specific requirements
  • Any defects in the Service will be corrected

You use the Service at your own risk. AI-generated content should not be relied upon as a substitute for professional advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSULGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Consulgent and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third-party rights

14. Termination

You may terminate your account at any time by contacting us at support@consulgent.com. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 7, 11, 12, 13, and 16) will survive.

15. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Consulgent regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
