Terms of Service

1. Agreement to Terms

By accessing or using the Consulgent website at consulgent.com or the Consulgent desktop application (the "Desktop App," and together with the website, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

"Consulgent," "we," "us," and "our" refer to the operator of the Service. "You" and "your" refer to the individual or entity using the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Description of the Service

Consulgent is a desktop application that organizes and guides agentic AI work into structured workstreams — clarifying objectives, creating plans, gathering information, and executing steps. The Desktop App runs Claude Code (from Anthropic) and Codex (from OpenAI) locally on your computer and provides the user interface, workflow structure, and guidance layer on top of those tools.

The website is used to learn about Consulgent, create and manage your account, and manage your subscription. The Service does not generate AI responses on our servers; AI processing occurs locally on your device through the AI providers' tools, as described in Section 5.2.

4. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Promptly update your account information if it changes
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Subscription, AI Provider Accounts, and Payments

5.1 Subscription

Access to the Desktop App requires an active paid subscription. Subscription details and pricing are available on our pricing page. The subscription covers your access to the Consulgent application only.

5.2 AI Provider Accounts

The Desktop App runs Claude Code and/or Codex under your own accounts with Anthropic and/or OpenAI. You are responsible for obtaining and maintaining those accounts and for complying with the applicable provider's terms, usage policies, rate limits, and any associated costs. Your Consulgent subscription does notinclude AI usage from those providers, and we are not responsible for the availability, performance, or billing of the AI providers' services.

5.3 Payments

All payments are processed by Stripe. By subscribing, you agree to pay the applicable fees. Subscription fees are billed on a recurring basis according to the billing cycle of your plan.

5.4 Cancellation and Refunds

You may cancel your subscription at any time through your account management. Upon cancellation, you will retain access through the end of your current billing period. Refund requests may be considered on a case-by-case basis by contacting support@consulgent.com.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Generate, store, or transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Use the AI providers' tools through the Service in violation of those providers' usage policies or terms
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Introduce malware, viruses, or other harmful code through the Service
  • Misrepresent AI-generated outputs as human-created work where disclosure is required by law or professional standards
  • Share your account credentials with others or allow multiple individuals to use a single account
  • Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent

We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including suspending or terminating their account.

7. Your Content and AI Outputs

7.1 Ownership

You retain ownership of all content you create or provide when using the Service, including your prompts, instructions, project data, and files ("User Content"). The Desktop App processes User Content locally on your device and transmits it directly to the AI provider you select under your own account with that provider. Consulgent does not store your User Content on its servers. If you choose to share specific User Content with us (for example, to report an issue), you grant us a limited, non-exclusive license to process and store that content solely to respond to your request.

7.2 AI-Generated Outputs

The Service helps produce AI-generated responses, plans, and analysis ("Outputs"). To the extent permitted by applicable law, you may use Outputs for your personal or business purposes. However, you acknowledge that:

  • Outputs are generated by third-party AI models and may contain inaccuracies, errors, or biases
  • Similar or identical Outputs may be generated for other users who provide similar inputs
  • You are solely responsible for evaluating, verifying, and using Outputs appropriately
  • Outputs do not constitute professional advice (legal, medical, financial, or otherwise)

8. Third-Party Services

The Service relies on third-party providers for AI processing, infrastructure, and payments. By using the Service, you acknowledge that your data will be transmitted to these providers as described in our Privacy Policy. These providers include:

  • AI providers: Anthropic and OpenAI (accessed under your own accounts)
  • Infrastructure: Supabase and Vercel
  • Payments: Stripe

Your use of these third-party services is subject to their respective terms of service and privacy policies.

9. Third-Party Integrations

The Desktop App may allow you to connect optional third-party tools and integrations, and to perform actions on your computer, when you enable those capabilities. If you connect an integration:

  • You authorize the integration directly, typically through that service's sign-in
  • Your use of the integration is subject to that third party's terms of service and privacy policy
  • You are responsible for the integrations you enable and the actions you authorize

10. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Consulgent and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • AI-generated outputs will be accurate, complete, or reliable
  • The Service will meet your specific requirements
  • Any defects in the Service will be corrected

You use the Service at your own risk. AI-generated content should not be relied upon as a substitute for professional advice.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSULGENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Consulgent and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content
  • Your violation of any third-party rights

14. Termination

You may terminate your account at any time by contacting us at support@consulgent.com. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 7, 11, 12, 13, and 16) will survive.

15. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Consulgent regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
